Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING REDEEMA, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. Parties & Binding Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between Redeema, LLC, a limited liability company incorporated in Puerto Rico ("Redeema," "we," "us," or "our"), and you, the individual or entity accessing or using the Redeema platform ("you" or "User"). The Redeema platform includes our mobile applications (iOS and Android), web portals, organization admin panels, business portals, and any related services (collectively, the "Service"). By creating an account, clicking "I Agree," or accessing any portion of the Service, you confirm that:

  • You have read, understood, and agree to be bound by these Terms.
  • You are at least 18 years of age, or the legal age of majority in your jurisdiction.
  • If acting on behalf of an organization or business, you have the legal authority to bind that entity to these Terms.

These Terms incorporate by reference our Privacy Policy (redeema.io/privacy), Official Sweepstakes Rules (redeema.io/sweepstakes-rules), and any applicable Organization or Business Agreements executed separately. In the event of a conflict between a signed Master Service Agreement (MSA) and these Terms, the MSA governs.

2. Description of Service

Redeema is a Community Operating System that provides the following core modules:

  • Dues & Fees Management: Semi-automated collection of recurring fees for organizations.
  • Fundraising & Crowdfunding: Goal-based campaigns with member attribution and donor tracking.
  • Sweepstakes & Promotions: Legally compliant sweepstakes campaigns for organizations and business sponsors, including receipt-based entry (Global Scan) and surveys.
  • People Management: Organization member pages with unique, non-indexed URLs for individual attribution.
  • Business Portal: Self-service campaign creation for business sponsors targeting the Redeema community.

Technology Provider Only. Redeema is a technology service provider and platform operator. We do not manage, control, or assume responsibility for the internal operations, fund allocation decisions, or obligations of any Organization or Business using the Service. Redeema is not a financial institution, fundraising organization, or sweepstakes sponsor.

3. Account Registration & Eligibility

3.1 User Accounts

  • You must provide accurate, current, and complete information during registration and maintain that information throughout your use of the Service.
  • You are solely responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at security@redeema.io of any unauthorized access to your account.
  • You may not share, transfer, or sell your account to any third party.
  • One account per person. Creating duplicate accounts to gain additional sweepstakes entries is a material breach of these Terms and grounds for permanent suspension.

3.2 Organization Accounts

  • Organization administrators represent and warrant that they are authorized to act on behalf of their organization and bind it to these Terms.
  • Administrators uploading data for minor participants represent that they have obtained verifiable parental or guardian consent prior to submitting any such information.
  • Organizations are solely responsible for the accuracy of participant data they enter into the platform, including names, contact information, and group assignments.

3.3 Business Accounts

  • Business applicants must provide a valid Employer Identification Number (EIN) and complete legal business information during onboarding.
  • Business accounts are subject to manual approval by Redeema. Redeema reserves the right to reject any business application at its sole discretion.
  • A business account that is approved and activated represents that it has the legal right to offer the prizes or promotions described in its campaigns and that all prize fulfillment is the sole responsibility of the Business Sponsor.

4. Minor Participants & Parental Consent

The Service is not directed to individuals under the age of 13. Redeema does not knowingly collect personal information directly from children under 13. For organizations that manage youth participants (leagues, schools, K-12 programs):

  • All minor participant data must be entered exclusively by authorized organization administrators, not by the minor themselves.
  • Minor participant Member Pages are non-indexed, non-discoverable, and accessible only via a private unique URL.
  • Administrators must configure groups containing minors as PRIVATE within the Redeema Group Settings.
  • Redeema will delete any data confirmed to have been collected directly from a child under 13 without verifiable parental consent upon discovery or notification.

Participation in sweepstakes is strictly limited to individuals 18 years of age or older (19 in Alabama and Nebraska; 21 in Mississippi). Organizations may not enter or enroll minors as participants in sweepstakes campaigns.

5. Acceptable Use

By using the Service, you agree NOT to:

  • Submit false, misleading, or fraudulent information of any kind.
  • Use the Service for any illegal, unauthorized, or fraudulent purpose.
  • Attempt to reverse engineer, decompile, disassemble, or extract the source code of any portion of the platform, including the Global Scan logic, Silent Wallet framework, Hash Chaining audit system, or ticket range architecture.
  • Attempt to gain unauthorized access to any account, server, system, or network.
  • Introduce malicious code, bots, scrapers, or automated tools that interfere with platform operations.
  • Use the platform to transmit spam, unsolicited communications, or phishing content.
  • Impersonate another person, organization, or entity.
  • Post or transmit content that is unlawful, defamatory, obscene, or that infringes third-party intellectual property rights.

Redeema reserves the right to investigate suspected violations and, at its sole discretion, suspend or permanently terminate any account, forfeit associated prizes or credits, and report conduct to appropriate authorities.

5.1 Sanctions & Prohibited Jurisdictions Compliance

You expressly represent and warrant that you do not accept funds from, provide support to, or otherwise permit any transactions or campaigns involving persons subject to international sanctions, or jurisdictions prohibited by Stripe or the U.S. Office of Foreign Assets Control (OFAC). This includes, but is not limited to, transactions involving Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions. Any breach of this section will result in immediate and permanent account termination without right of appeal.

6. Global Scan β€” Receipt Submission Rules

The Global Scan feature allows users to earn sweepstakes entries by submitting qualifying purchase receipts. The following rules are strictly enforced to protect the integrity of Business Sponsor campaigns:

  • Authenticity: You may only submit original receipts from your own personal purchases. Receipts found in public spaces, purchased from others, sourced online, or otherwise not from your own transaction are prohibited.
  • No Manipulation: Using software, artificial intelligence, image editing tools, or any other method to alter receipt data (including Merchant Name, Date, Total Amount, or any other field) is a material breach of these Terms.
  • No Duplicates: Each physical or digital receipt may only be submitted once. The platform employs SHA-256 hash deduplication to detect and reject duplicate submissions.
  • One Campaign Per Receipt: A single receipt may generate valid entries across multiple active campaigns simultaneously (Global Scan matching logic). This is an intended feature, not a violation.
  • Validation Credits: Business Sponsors are only charged a validation credit when a valid ticket range is successfully generated and assigned. Rejected receipts do not consume credits.

VIOLATION: Any account found submitting fraudulent, altered, or duplicate receipts will be permanently banned, all associated entries and prizes forfeited, and the conduct reported to applicable authorities. There is no right of appeal for fraud-based terminations.

7. Sweepstakes, Promotions & Leaderboards

7.1 No Purchase Necessary

In compliance with applicable federal law and Puerto Rico regulations (DACO), ALL sweepstakes hosted on the Redeema platform provide an Alternative Method of Entry (AMOE) that requires no purchase, donation, or payment of any kind. Making a purchase does not increase your odds of winning. VOID WHERE PROHIBITED BY LAW.

7.2 Eligibility

  • Sweepstakes participation is open only to legal residents of the United States or Canada who are physically located within the applicable jurisdiction at the time of entry.
  • Participants must be 18 years of age or older (19 in Alabama and Nebraska; 21 in Mississippi), or the legal age of majority in their jurisdiction.
  • Employees, officers, directors, and agents of Redeema, the Business Sponsor, and their immediate family members and household members are not eligible.

7.3 Winner Selection & Tamper-Evident Audit

  • Winners are selected using a certified randomization algorithm applied to pre-assigned, sequential ticket ranges recorded in our tamper-evident SHA-256 audit chain.
  • Ticket ranges are immutable once assigned. No ticket can be altered, deleted, or reassigned after generation.
  • Drawings may be executed automatically on a pre-set date or manually triggered by a Redeema Super Administrator. In all cases, the certified randomization algorithm governs selection.
  • Prize winners may be required to complete a Winner Claim Form, provide a valid W-9 (if prize value exceeds $600), and/or execute an Affidavit of Eligibility and Liability Release before prizes are delivered.

Apple Inc. and Google LLC are NOT sponsors of, nor are they involved in any way with, promotions hosted on Redeema.

7.4 Prize Responsibility

Business Sponsors are solely responsible for the delivery, quality, safety, legality, and tax implications of prizes offered in their campaigns. Redeema is not the prize sponsor and assumes no liability for prize fulfillment.

8. Financial Transactions & Payments

8.1 Payment Processing

All payment transactions on the Redeema platform are processed by Stripe, Inc. By using any payment feature, you also agree to the Stripe Connected Account Agreement and Stripe's Privacy Policy. Redeema does not store, transmit, or have access to full payment card numbers, bank account numbers, or other sensitive financial credentials.

8.2 Redeema Is Not a Bank

Redeema is a technology platform, not a financial institution. Funds collected for dues, donations, or crowdfunding campaigns flow directly to the Organization's connected Stripe account. Redeema does not hold, escrow, or have custody of funds on behalf of any Organization or user.

8.3 Refund and Chargeback Policy

  • Community Funds: All refund requests must be directed to and processed by the respective Organization. Redeema does not control or issue refunds for funds held in an Organization's account.
  • Chargeback and Dispute Liability: The Organization running the crowdfunding or fundraising campaign is solely and fully responsible for any financial disputes, reversals, or chargebacks initiated by donors or financial institutions via Stripe. The Organization agrees to indemnify Redeema for any fees or losses incurred due to such disputes. Redeema reserves the right to freeze funds or suspend accounts with high dispute rates.
  • Business Campaign Fees: All fees paid by Business Sponsors for campaign activation are prepaid and non-refundable once the campaign is activated. Campaigns may be paused by Redeema for policy violations without entitlement to refund.
  • Platform Fees: Redeema's processing and platform fees are non-refundable under all circumstances.

8.4 Tax Reporting

Organizations and Business Sponsors are solely responsible for their own tax compliance, including but not limited to: issuing IRS Form 1099 to prize winners receiving prizes valued at $600 or more, sales tax obligations, and any other federal, state, or Puerto Rico tax reporting requirements.

9. Organization Responsibilities

Organizations using Redeema for dues collection, fundraising, or sweepstakes agree that:

  • They are solely responsible for the lawfulness of their fundraising activities in their jurisdiction, including compliance with any local gaming, lottery, or charitable solicitation laws.
  • They are responsible for communicating campaign terms, prize details, and financial information accurately to their members and participants.
  • They will not use the platform to conduct activities that are misleading, deceptive, or that misrepresent the purpose of funds collected.
  • They will promptly connect a valid Stripe account and maintain it in good standing to receive payouts.
  • They acknowledge that Redeema's Tamper-Evident audit records are the authoritative source of truth for participation data and financial reconciliation.
  • They explicitly agree not to use the fundraising modules to support any activity included on Stripe's Prohibited or Restricted Business List, including but not limited to equity crowdfunding without proper regulatory licensing, or campaigns promoting hate speech, violence, or illicit goods.

10. Intellectual Property

All technology, content, and systems comprising the Redeema platform are the exclusive intellectual property of Redeema, LLC, including but not limited to:

  • The Community Operating System architecture
  • The Global Scan receipt validation logic
  • The Silent Wallet attribution framework
  • The Hash Chaining tamper-evident audit system
  • The Ticket Range Architecture and certified randomization engine
  • All trademarks, service marks, logos, and brand assets associated with Redeema

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for its intended purpose. This license does not permit: sublicensing, resale, copying, modification, reverse engineering, decompilation, disassembly, or creation of derivative works based on any part of the Service.

11. User-Submitted Content

You retain ownership of any content you submit to the platform (such as organization logos or campaign descriptions). By submitting content, you grant Redeema a worldwide, royalty-free, non-exclusive license to use, display, reproduce, and process that content solely to operate and improve the Service. You represent and warrant that any content you submit: (a) does not infringe any third-party intellectual property rights; (b) is not defamatory, obscene, or unlawful; and (c) you have all necessary rights to grant the license above.

12. Disclaimers of Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED ACCESS. REDEEMA DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES.

Redeema does not warrant or guarantee:

  • The accuracy of OCR receipt processing results. Results are subject to image quality, receipt legibility, and vendor data availability.
  • Continuous availability of any third-party service including Stripe, AWS, or any integrated provider.
  • The accuracy, completeness, or legality of campaign content created by Organizations or Business Sponsors.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REDEEMA, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

Redeema's total cumulative liability to you for any and all claims arising under or related to these Terms shall not exceed the greater of: (a) the total fees paid by you directly to Redeema in the six (6) months immediately preceding the claim, or (b) ONE HUNDRED DOLLARS ($100.00). This limitation applies regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise, and even if Redeema has been advised of the possibility of such damages.

14. Indemnification

You agree to indemnify, defend, and hold harmless Redeema, LLC and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms.
  • Your use or misuse of the Service.
  • Any content you submit to the platform.
  • Your violation of any applicable law or regulation.
  • Any claim by a third party relating to funds you collected or prizes you offered through the platform.

15. Termination & Suspension

Redeema may suspend or terminate your access to the Service, with or without notice, for any of the following:

  • Violation of any provision of these Terms.
  • Submission of fraudulent, altered, or duplicate receipt data.
  • Account activity that poses a risk to platform integrity, other users, or Business Sponsors.
  • Failure to maintain a valid payment method or connected Stripe account (Organizations).
  • Inactivity exceeding twelve (12) consecutive months.

Upon termination: your license to use the Service immediately revokes; pending payouts may be held pending fraud review; and your account data will be retained in accordance with our Privacy Policy and applicable law. The Tamper-Evident audit chain records associated with your account are retained permanently and cannot be deleted as they form part of legally required financial audit records.

16. Modifications to These Terms

Redeema reserves the right to update or modify these Terms at any time. Material changes will be communicated via in-app notification and email to your registered address at least 14 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Service and request account closure at legal@redeema.io before the effective date.

17. Governing Law & Dispute Resolution

17.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico and applicable federal law of the United States, without regard to conflict of law provisions.

17.2 Mandatory Binding Arbitration

EXCEPT AS PROVIDED BELOW, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING ARBITRATION conducted in San Juan, Puerto Rico, administered under the rules of the American Arbitration Association (AAA) Commercial Arbitration Rules.

  • The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
  • YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN CLASS ACTION PROCEEDINGS.

17.3 Small Claims & Injunctive Relief

Notwithstanding the foregoing, either party may seek relief in a small claims court for disputes within that court's jurisdiction, or seek injunctive or other equitable relief in a court of competent jurisdiction in San Juan, Puerto Rico to protect intellectual property rights or confidential information.

17.4 Class Action Waiver

All claims must be brought on an individual basis. You may not bring claims as a plaintiff or class member in any class, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims.

18. SMS & Push Notifications

By providing your mobile phone number and enabling notifications, you consent to receive SMS text messages and push notifications from Redeema for the following purposes:

  • Account security: one-time passwords (OTP) and multi-factor authentication (MFA) codes.
  • Transactional alerts: payment confirmations, campaign updates, and winner notifications.
  • Organization communications: dues reminders and campaign activity relevant to your account.

Message and data rates may apply depending on your mobile carrier plan. Redeema is not responsible for any charges imposed by your carrier. You may opt out of promotional SMS at any time by replying STOP to any message. Opting out of promotional messages does not affect transactional or security-related communications required for platform operation.

19. Unsolicited Idea Submissions

Redeema does not accept or consider unsolicited ideas, suggestions, or proposals for new features, products, campaigns, or improvements through any channel outside of a formal written agreement. If you submit any such idea or suggestion through any means β€” including email, social media, support tickets, or any other channel β€” you agree that:

  • The submission is not confidential and Redeema has no obligation to treat it as such.
  • Redeema acquires all rights, title, and interest in the submission without compensation to you.
  • Redeema may use, reproduce, modify, publish, or incorporate the submission for any purpose without restriction.
  • You waive any claim against Redeema based on similarity between a submitted idea and any future Redeema product or feature.

20. System Outages & Scheduled Maintenance

Redeema may experience unplanned outages or require scheduled maintenance that temporarily interrupts access to the Service. Redeema will make reasonable efforts to notify users of planned maintenance in advance but does not guarantee any specific uptime percentage or availability SLA for non-enterprise accounts. Redeema is not liable for any loss, missed campaign entries, payment delays, or other damages resulting from:

  • Unplanned downtime caused by infrastructure failures, third-party service outages (including AWS or Stripe), or events beyond Redeema's reasonable control.
  • Scheduled maintenance windows communicated in advance.
  • Suspension of your account due to a policy violation during an active campaign.

Sweepstakes campaign end dates will not be automatically extended due to platform outages unless Redeema, at its sole discretion, determines the outage materially affected the campaign's ability to receive entries during a significant portion of its active period.

21. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, Official Sweepstakes Rules, and any executed MSA, constitute the entire agreement between you and Redeema regarding the Service and supersede all prior communications.
  • Severability: If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force.
  • No Waiver: Redeema's failure to enforce any right or provision does not constitute a waiver of that right or provision.
  • Assignment: You may not assign your rights or obligations under these Terms without Redeema's prior written consent. Redeema may assign its rights freely in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: Redeema is not liable for failure to perform due to causes beyond its reasonable control, including natural disasters, government actions, infrastructure failures, or third-party service outages.
  • Electronic Notices: Notices to you will be sent to your registered email address. Notices to Redeema must be sent to legal@redeema.io.
